Terms of Service

By accessing or using The Shop's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access our services.

The Shop provides AI development services, including but not limited to:

• Custom AI solution development
• Large Language Model (LLM) integration
• AI-driven web and mobile application development
• AI-powered DevOps and infrastructure automation
• AI consulting and strategy services
• Machine learning model development and deployment

As a client, you agree to:

• Provide accurate and complete information about your project requirements
• Respond to our communications in a timely manner
• Provide necessary access to systems and data as required for project completion
• Ensure you have the rights to any content or data you provide
• Make timely payments according to agreed terms
• Comply with all applicable laws and regulations

Scope of Work

Each project will be governed by a separate Statement of Work (SOW) that outlines specific deliverables, timelines, and costs. The SOW, together with these Terms, constitutes the entire agreement.

Changes to Scope

Any changes to the project scope must be agreed upon in writing and may result in adjustments to timeline and costs.

Client Materials

You retain all rights to materials you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

Deliverables

Upon full payment, you own all rights to the custom deliverables created specifically for your project, except for any pre-existing intellectual property or third-party components.

Our Intellectual Property

We retain all rights to our pre-existing intellectual property, methodologies, frameworks, and general know-how. We may use generalized learnings from your project for other clients.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. This obligation survives the termination of these Terms.

Payment terms will be specified in the SOW. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise specified

We warrant that our services will be performed in a professional and workmanlike manner. However, we provide our services "AS IS" and disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

We do not guarantee specific results or outcomes from our AI solutions, as performance can vary based on data quality, use cases, and other factors outside our control.

To the maximum extent permitted by law, our total liability for any claims arising from these Terms or our services shall not exceed the fees paid by you for the specific services giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
